1. Introduction

These terms govern the use of the Inzyy platform, owned and operated by Inzyy Commerce Private Limited, a company registered under the laws of India. By accessing or using Inzyy, you acknowledge that you have read, understood, and agreed to be bound by these terms. If you do not agree to these terms, you may not use our platform.

2. Definitions

For the purposes of these terms, the following definitions apply:

• "Platform": Refers to the Inzyy website, mobile application, or any other digital platform through which our services are offered.
• "User", "You" or "Your": Refers to any individual or entity that accesses, uses, or registers an account on the platform.
• "Inzyy", "ICPL", "We", "Our", or "Us": Refers to Inzyy Commerce Private Limited, its affiliates, directors, officers, employees, and agents.
• "Meal Kits": Refers to the ready-to-cook food products provided through the Inzyy platform.
• "Order": Refers to any purchase made by a user through the platform.
• "Content": Refers to all text, graphics, images, logos, product descriptions, and any other material available on the platform.
• "Personal Information": Refers to any data relating to an identified or identifiable individual that is collected through the platform, in accordance with our Privacy Policy.

3. User Accounts and Registration

In order to access the supplies on the platform, you will have to register and create an account on the platform by providing details as may be required in the Privacy Policy (“Account”).

You are solely responsible for the information you provide to us. You shall ensure and confirm that the account information and all information provided by you is complete, accurate and up-to-date. If there is any change in the account information, or if any information is found to be incomplete or incorrect, you shall promptly update your account information on the platform or request Inzyy for information revision or update. If the information provided by you is untrue, inaccurate, unauthorised, not current, or incomplete (or becomes untrue, inaccurate, not current, or incomplete), Inzyy reserves the right to refuse any and all the supplies, if Inzyy has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete. Inzyy reserves the right to refuse access to the platform at any time without notice for any violation of these terms or for non-compliance with applicable laws.

You will be responsible for the confidentiality of the account information provided and fully responsible for all activities that take place on your account. You agree to immediately notify Inzyy of any unauthorized access to your account. You may be held liable to pay damages for losses caused due to unauthorised use of your account as a result of your failure to keep your account information secure and confidential.

4. Pricing and Payment Terms

Any contract for the supply of food items from this website is between you and Inzyy. You agree to take particular care when providing us with your details and warrant that these details are accurate and complete at the time of ordering. You also warrant that the credit or debit card details that you provide are for your own credit or debit card and that you have sufficient funds to make the payment.

All product and delivery prices listed on the website are accurate at the time of publication. However, Inzyy reserves the right to revise prices, update or modify the product catalogue, and change delivery charges at any time without prior notice.

Delivery charges may vary based on location, order size, or delivery partners, and any changes will be reflected on the platform accordingly.

The total price for the food including taxes will be displayed at the time of checking out your order. Full payment must be made for all items dispatched ordered by online payment, e.g. credit, debit card or bank transfers.

For online payments, you must pay for your order prior to delivery. To ensure that shopping online is secure, your debit/credit card details will be encrypted, thereby preventing the possibility of any third-party accessing your information.

If a customer makes payment for the same order more than once by mistake, the extra amount will be refunded via the same gateway to the source within 15 to 20 working days.

5. Ordering

Any goods and services purchased from this website are intended for your use only and not for resale.

When ordering from this website you may be required to provide an email address and password. You must ensure that you keep the combination of these details secure and do not provide this information to a third party.

We take data security seriously and implement appropriate measures to protect your personal and payment information. While we strive to ensure the highest level of security, we cannot be held responsible for events beyond our control that may result in unauthorized access to your data.

The products sold on the platform are perishable goods. Hence, we recommend that you read the instructions written on the packaging of each product carefully, before using such a product.

Any offers available on the platform shall be, in addition to this agreement, subject to the terms and conditions as may be listed on the platform in relation to such offers.

Inzyy has proprietary rights and trade secrets in the products. You shall not copy, reproduce, resell or redistribute any product manufactured and/or distributed by Inzyy.

It is solely your responsibility to check allergen information provided in the platform before placing your order.

6. Cancellations, Returns and Refunds

6.1. Cancellations

You must notify Inzyy immediately if you decide to cancel your order, preferably by email at support@inzyy.in, and quote your order number.

We will only accept cancellation requests on a case by case basis and will not entertain cancellations once the kits have been handed over to the delivery partner.

We may cancel an order if the product is not available for reasons that are not within our control. We will notify you if this is the case and return any payment that you have made.

If the cancellation was made in time, we will refund or re-credit your debit or credit card with the full amount within 14 days.

In the unlikely event that we deliver a wrong item, you have the right to reject the delivery of the wrong item and you shall be fully refunded for the missing item. If we can only do a partial delivery (a few items might be not available), we would inform you or propose a replacement for missing items. You have the right to refuse a partial order before delivery and get a refund. Please check our refund policy for more information.

6.2. Returns and Refunds

All refund requests have to be raised within 48 hours from the date of delivery.

To raise any refund request for quality-related issues, please submit a clear picture of each item to our customer service team via our in-app chat, WhatsApp number or email.

All refund requests related to quality issues for any item, must be raised before the expiry of the shelf life of item(s) mentioned on our app & website.

Quality issues do not include subjective parameters such as taste.

If any user account has been determined to be fraudulent per our internal standards, no refunds will be processed.

7. Information

You agree to provide us with accurate and complete information wherever and whenever we have requested information to provide delivery.

You authorize us to use, store or otherwise process your personal information in order to enable the delivery of food items to you or for marketing or credit control purposes. These purposes may include the disclosure of your personal information to selected third parties from time to time where we believe that the services offered by such third parties may be of interest to you or where this is required by law or in order to provide delivery of food items.

You are entitled to request a copy of the personal information we hold on you. Please contact us at support@inzyy.in if you wish to request this information.

8. Delivery

Delivery timings quoted at the time of placing the order are approximate and may vary based on factors such as traffic and weather conditions. The food items you ordered for will be delivered to the address designated by you at the time of placing the order.

All orders are delivered by Inzyy's own delivery network or any other reputed delivery service that we may choose to use from time to time. If the goods are not delivered within the estimated delivery time quoted by us, please contact us on email support@inzyy.in and we do our best to ensure that you receive your order as quickly as possible.

If you fail to accept your food when it is out for delivery, or if we are unable to deliver at the stated time due to your failure to provide appropriate instructions, or authorizations, then such goods shall be deemed to have been delivered to you and all risk and responsibility in relation to such goods shall pass on to you.

You must ensure that at the time of delivery your order adequate arrangements, including access where necessary, are in place for the timely delivery of your order.

Inzyy will try our best to deliver the product to you at the place of delivery as requested by you in your order within the time confirmed. We will inform you if we are unable to meet the estimated delivery time.

Please note that it might not be possible for us to deliver to some locations. If this is the case, we will inform you using the contact details that you provide to us when you make your order and arrange for cancellation of the order or delivery to an alternative address.

In case of the unlikely event of a failed delivery due to reasons beyond the control of the customer, Inzyy will refund the full amount to the customer within 15 to 20 working days via the same source by which the payment was made.

The goods will ordinarily be delivered when an appropriate person is able to receive the order at the address provided by You. If you request to leave a delivery unattended at your address, you expressly disclaim the company from all the liabilities which may arise by virtue of the products being left unattended for a period of time. This includes but is not limited to theft, tampering, contamination, and the result of any change in temperature of the items which need to be kept chilled or frozen.

In the event you opt to make payment for the products by 'Cash On Delivery (COD)' mode, the company shall have the right to refuse delivery of the ordered products to you if you fail to make the complete payment and the company shall treat such order as canceled order and shall not be liable for any losses or damage that may arise on account of such non–delivery to You. The Company shall reserve the right to charge you, the delivery fee any other fees for such canceled order and recover the same, at its sole discretion towards the cost incurred on such delivery attempt.

9. Limitation of Liability

Great care has been taken to ensure that the information available on this website is correct and error free. We apologize for any errors or omissions that may have occurred. We cannot warrant that use of the website will be error-free or fit for purpose, timely, that defects will be corrected, or that the site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy, reliability of the website and we do not make any warranty whatsoever, whether express or implied, relating to fitness for purpose, or accuracy.

By accepting these terms of use, you agree to relieve us from any liability whatsoever arising from your use of information from any third party, or your use of any third party website, or your consumption of any food or beverages ordered from us.

While we take all reasonable care in preparing and delivering your order, Inzyy disclaims liability for any loss, damage, or expense arising from the supply of products, to the maximum extent permitted by applicable law.

This does not affect your statutory rights as a consumer. If we are found liable for any issue related to your order, our liability will be limited to the amount paid for the specific item(s) in question.

We do not accept liability for any indirect losses, such as loss of profits or business opportunity.

We do not accept any liability for any delays, failures, errors or omissions or loss of transmitted information, viruses or other contamination or destructive properties transmitted to you or your computer system via our website.

If we have contracted to provide identical or similar orders to more than one customer and are prevented from fully meeting our obligations to you by reason of an event of force majeure, we may decide at our absolute discretion which orders we will fill and to what extent.

The products sold by us are provided for private domestic and consumer use only. Accordingly, we do not accept liability for any indirect loss, consequential loss, loss of data, loss of income or profit, loss of damage to property and/or loss from claims of third parties arising out of the use of the website or for any products or services purchased from us.

We have taken all reasonable steps to prevent internet fraud and ensure that any data collected from you is stored as securely and safely as possible. However, we cannot be held liable in the extremely unlikely event of a breach in our secure computer servers or those of third parties.

In the event Inzyy has a reasonable belief that there exists an abuse of vouchers and/or discount codes or in suspected instances of fraud, Inzyy may cause the shopper (or customer) to be blocked immediately and reserves the right to refuse future service. Additionally, should there exist an abuse of vouchers or discount codes, Inzyy reserves the right to seek compensation from any and all violators.

10. Communication

You hereby expressly agree to receive communications by way of SMS, telephone or VOIP calls, messaging app like WhatsApp on the registered mobile phone number /or electronic communications like e-mails from the company and other third parties duly authorized by the company. You hereby expressly consent to the monitoring and recording, by the company of any and all communications between you and the company or its agents, employees, consultants, contractors, or representatives of the company or of their authorized partners, and such monitoring or recording waives any further notice or consent requirement under the applicable laws.

You can unsubscribe or opt-out from receiving communications from the company. In which case, the company will only send communications solely required for the purposes of availing the supplies by you.

11. General

All prices are indicated in INR. Prices are inclusive of taxes unless otherwise indicated

We may subcontract any part or parts of the product catalog that we provide to you from time to time and we may assign or negate any part or parts of our rights under these terms and conditions without your consent or any requirement to notify you.

We may alter or vary the terms and conditions at any time without notice to you.

Payment must be made either at the time of placing the order by credit or debit cards. Failure to pay on time will result in the cancellation of your order.

Do not use or launch any automated system or program in connection with our website or its online ordering functionality;

Do not collect or harvest any personally identifiable information from the website, use communication systems provided by the website for any commercial solicitation purposes, solicit for any reason whatsoever any users of the website with respect to their submissions to the website, or publish or distribute any vouchers or codes in connection with the website, or scrape or hack the website.

It may be noted by the customer that once registered he/she will be receiving all kinds of promotional SMS, mailers and notifications to keep him/her updated with our offers and other forms of information.

The terms and conditions together with the privacy policy, any order form and payment instructions constitute the entire agreement between you and us. No other terms whether expressed or implied shall form part of this agreement. In the event of any conflict between these terms and conditions and any other term or provision on the website, these terms and conditions shall prevail.

If any term or condition of our agreement shall be deemed invalid, illegal or unenforceable, the parties hereby agree that such term or condition shall be deemed to be deleted and the remainder of the agreement shall continue in force without such term or condition.

These terms and conditions and our agreement shall be governed by and construed in accordance with the laws of India. The parties hereto submit to the exclusive jurisdiction of the courts of India.

No delay or failure on our part to enforce our rights or remedies under the agreement shall constitute a waiver on our part of such rights or remedies unless such waiver is confirmed in writing.

These terms and conditions and a contract (and all non-contractual obligations arising out of or connected to them) shall be governed and construed in accordance with Indian laws. Both, we and you hereby submit to the non-exclusive jurisdiction of the courts of India. All dealings, correspondence and contacts between us shall be made or conducted in the english language.

12. Advertisements

As part of the supplies provided by us; We may facilitate and allow third party advertisers (“Third Party Advertisers”) to place advertisements on the platform. You understand that any content put out by third party advertisers is not edited, reviewed or otherwise endorsed by the company and we disclaim to the fullest extent permitted by law any liability for the content published by the third party advertisers.

To the extent you are a third party advertiser you understand that in addition to these terms You will also be required to agree to the company's policies and other contractual agreements that You will need to execute for placing your advertisement. As a general principle the content in the advertisements should not be misleading or in violation of applicable law or guidelines issued by the Advertising Standards Council of India or any other self-regulating body. You also acknowledge that we have the sole right at our discretion to remove any third party advertisement or require you to prove factual substantiation if we are of the view that it is in violation of applicable law or any self-regulating industry body guidelines or is otherwise misleading.

13. Intellectual Property Rights

All content available on the platform, including but not limited to text, graphics, logos, images, software, and audio or video clips, is the property of Inzyy Commerce Private Limited or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, duplicate, copy, sell, resell, modify, distribute, or exploit any content on the platform for any commercial purposes without express written consent from Inzyy.
